MENLO COACHING USA LLC, TERMS & CONDITIONS FOR GMAT PREP COURSE

Background

Menlo Coaching USA LLC (“Menlo Coaching”) provides a GMAT Prep Course to help test takers prepare for the GMAT.  The agreement below describes the GMAT Prep Course and the conditions under which Menlo Coaching will provide this service to the client.

Terms & Conditions

Description of Service

Our GMAT Prep Course includes the following components:

  1. Refresh Modules, which are self-study guides covering basic GMAT topics.  These allow you to prepare yourself before each course meeting.
  2. 35 hours of group instruction, divided between:
    1. Ten content lessons of two and a half hours each, in which an instructor covers the different parts of the GMAT.
    2. A special 2-hour intro lesson (used to introduce the course, the GMAT, and core strategies) + 4 homework review sessions of two hours each, in which an instructor reviews the homework questions and answers questions from course participants.
    You will receive access to recordings of these sessions for your specific cohort.
  3. Homework assignments after each course meeting.
  4. A study plan describing what you should do to complete your study between taking the course and taking the live GMAT exam.

The GMAT Prep Course does not include 1:1 tutoring, nor does it include MBA admissions consulting services.

The 10 content lessons cover:

  1. Arithmetic
  2. Critical Reasoning I
  3. Algebra
  4. Reading Comprehension
  5. Word Problems
  6. Sentence Correction I
  7. Geometry and Statistics
  8. Sentence Correction II
  9. Data Sufficiency
  10. Critical Reasoning II + Test Strategies/Final Study Plan

Course timing

By purchasing the GMAT Prep Course, you are making a reservation for the specific dates indicated in our online order form or the contract that you sign.  You may not postpone to a later session of the course without our consent.

Class schedules are subject to change and/or cancellation.  If we change the schedule for the course you signed up for, or cancel it, and you do not want to enroll in an alternative course, you may receive a full refund upon request.

We will reply to your inquiries about the course within three business days.

Payment terms

Payment is due immediately when you sign up for the course.

If you are not satisfied with the course, you may cancel on any business day prior to the third content lesson, “Algebra”, and receive a full refund, minus a $100 administrative fee.

If you do not pay your invoice for the course, or if you claim a refund under this policy, or if you file a chargeback with your credit card company, you may not attend the course nor may you access any of the instructional materials or the session recordings.

Student code of conduct

Menlo Coaching reserves the right to expel any student from the GMAT Prep Course for:

  1. Disrupting the learning environment repeatedly, e.g. by posting inappropriate or offensive comments.
  2. Breaching any part of these terms, e.g. by disclosing the identities of fellow course participants, or by distributing Menlo Coaching’s confidential materials to others.
  3. Acting improperly toward any Menlo Coaching instructor or fellow student.

If you are expelled for these reasons, you will not receive a refund and may not enroll in our course again.

Confidentiality

Except as directed by you, we will keep all aspects of our work together confidential.

You agree to keep the discussions during our meetings and the identities of the other course participants confidential.  You acknowledge that participating in the course will reveal your identity to other course participants, and indemnify Menlo Coaching against any possible damages that may arise from them disclosing the fact that you participated in the GMAT Prep Course.

You agree to keep all Menlo Coaching materials, such as videos, worksheets, and other documents, confidential and to use them only for yourself.

You agree that we may use limited, anonymized information about your application in the following ways:

  1. We may use your before-and-after improvement or your final GMAT score to market our service.  We may report individually (without using your name) or in an aggregated way.
  2. Menlo Coaching staff, who will have agreed to keep client data confidential as a condition of their employment, may review recordings of course meetings or your correspondence with us as part of their training.

Besides the uses listed above, we will never use your information in any way unless we have first received your permission.

Limitations of our Service

We believe that our service will give you the best chance possible to achieve a high GMAT score.  But, we must advise you about several limitations:

  1. We cannot guarantee that you will achieve a particular GMAT score or level of improvement.
    GMAT scores depend on many factors that are out of our control, such as the amount of time you spend on GMAT study outside the course meetings.
  2. A significant time commitment outside of course meetings is required to achieve a good GMAT score.
    You must spend time on GMAT self-study if you expect to achieve a good GMAT score.
  3. We rely on the security of third parties to keep your data confidential.

In the process of delivering our service we use various commercial software products, including but not limited to Gmail, Google Drive, Basecamp (www.basecamp.com), Xero, Mac OS, Microsoft Windows, Microsoft Word, and other similar software products.

The security of your private information depends on the security of these software products.  If these software products would be hacked, it is possible that your private information would be revealed publicly.  We believe that these companies are reliable and professional but disclaim any liability for breaches of the security of their software.

4.  Limited liability

We are not liable for any damages, whether direct or indirect, based on your GMAT score.  For example, you agree not to make a claim for damages against Menlo Coaching for a rebate of your fees or for “lost earning potential” based on the fact that you achieve a poor GMAT score.

In no event will Menlo Coaching’s liability to you exceed what you have paid to enroll in our GMAT Prep Course.

Legal Details

Tax: Purchasing our course may be subject to tax in your jurisdiction. You are responsible for paying any such tax.

Jurisdiction: Menlo Coaching is a Delaware LLC.  You agree to use Delaware as the jurisdiction for any legal claims about our service.

Sole contract: These terms and conditions constitute the entire agreement between you and us.  They supersede any prior written or verbal agreements.

Amendment: These terms and conditions may be updated from time to time by Menlo Coaching.

Severability: If part of these terms is determined to be unenforceable, the rest of the terms will remain valid and in effect.

No third party beneficiaries: No third party can derive benefits or rights from these terms or your purchase of the GMAT Prep Course.

Force Majeure: Both parties acknowledge that the service may be interrupted by factors that are outside of our reasonable control, such as power failures, natural disasters, failures of the phone or Internet network, and similar events.

Intellectual Property: All materials provided by us are the exclusive property of Menlo Coaching.  We grant you permission to use these materials only in connection with your own test preparation (but not to copy, distribute, share or otherwise use these materials).  Your homework assignments remain exclusively your property and Menlo Coaching claims no rights in those.  You grant us the right to use them as described in the Client Confidentiality section above.
